Lectis Terms of Service and Privacy Policy

Lectis is operated by Ipsis Design LLC (“we,” “us,” or “our”). By using Lectis (“the Service”), you agree to these Terms of Service and Privacy Policy.

Part 1: Terms of Service

1. Acceptance of Terms

By creating an account or using Lectis, you agree to be bound by these terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use Lectis. By using the Service, you represent that you meet this requirement.

3. Account Registration

You are responsible for:

  • Providing accurate registration information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account

You must notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Upload content that infringes intellectual property rights
  • Attempt to gain unauthorized access to other accounts or systems
  • Distribute malware, spam, or harmful content
  • Use the Service to harass, abuse, or harm others
  • Circumvent any access controls or usage limits
  • Resell or redistribute the Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your Content

You retain ownership of all content you create or upload to Lectis (“Your Content”), including documents, ingested files, and the derived chunks and vectors stored in our search index. By using the Service, you grant us a worldwide, royalty-free license to use, store, copy, modify, transmit, display, and create derivative works of Your Content solely as necessary to operate, maintain, and improve the Service. This includes parsing and chunking documents, generating embeddings, creating backups, formatting for compatibility, indexing for search, caching for performance, and retaining during account deletion periods.

We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service. We do not use Your Content to train machine-learning models.

6. Workspace API Keys

Workspaces are owned by a single user account. To use Lectis from the desktop application, the command-line interface, the MCP server, or any third-party integration, you mint per-workspace API keys (`lk_…`) from the dashboard. You are responsible for:

  • Keeping your API keys confidential
  • Revoking keys that may have been exposed
  • All activity performed under keys you have minted

API keys inherit the access of the account that minted them; the cloud gate (current Terms acceptance, active subscription) applies to every call made with a key, not just to browser sessions.

7. Subscription and Billing

Desktop App (Free): The Lectis desktop application is free and runs entirely offline against a local index. The Terms and gating described in these terms apply only when you use the hosted cloud Service.

Pro Tier: Pro is currently the only self-serve cloud plan, billed at $29 per month, with a 50 GB combined cap on source files and vector storage across all workspaces you own. Prices are listed on our website and may change with 30 days notice for existing subscribers.

Enterprise: Higher storage caps and custom terms are available by contacting us at the address below.

Refunds: We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your current billing period.

Failed Payments: If payment fails, we will attempt to notify you. After 7 days of failed payment, your account may be downgraded and cloud features paused.

Storage Limits: If your stored content exceeds the limits of your tier, you will have 14 days to reduce your usage. After 14 days, we may delete content to bring your account within the applicable storage limits, starting with the most recently modified files.

8. Service Availability

We strive to maintain reliable service but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We are not liable for any loss resulting from service interruptions. The desktop application's offline capability is designed to limit the impact of cloud outages on your day-to-day use.

9. Modifications to the Service

We may modify, suspend, or discontinue features of the Service at any time. For significant changes that materially affect your use, we will provide reasonable notice.

10. Termination

By You: You may delete your account at any time through your account settings, subject to first canceling any active subscription and deleting any owned workspaces.

By Us: We may suspend or terminate your account for violation of these terms, extended inactivity, or at our discretion with reasonable notice.

Upon termination, your data will be deleted within 30 days.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IPSIS DESIGN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Ipsis Design LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

14. Dispute Resolution and Arbitration

Informal Resolution: Before filing any claim, you agree to contact us at support@lectis.io and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, you and Ipsis Design LLC agree to resolve any claims through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English, and the arbitrator’s decision will be final and binding.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

Opt-Out: You may opt out of arbitration by sending written notice to support@lectis.io within 30 days of creating your account. The notice must include your name, email, and a clear statement that you wish to opt out of arbitration.

15. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. For matters not subject to arbitration, any disputes shall be resolved in the courts of Delaware.

16. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or notice within the Service at least 14 days before taking effect, and you will be asked to re-accept the updated terms before continuing to use cloud features. Continued use after changes take effect constitutes acceptance.

17. Severability

If any provision of these terms is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. All other provisions remain in full force and effect.

18. Entire Agreement

These terms constitute the entire agreement between you and Ipsis Design LLC regarding the Service and supersede all prior agreements, representations, and understandings.

19. Assignment

You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations under these terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Part 2: Privacy Policy

1. Information We Collect

Account Information:

  • Email address
  • Password (stored securely using industry-standard methods)
  • Display name (optional)
  • For accounts created via GitHub or Google sign-in: the provider-issued user ID and verified email returned by the provider; we do not receive your password from these providers

Content You Create:

  • Document workspaces, ingested files, and the derived chunks and vectors stored in our search index
  • Workspace names, descriptions, and document metadata
  • For code workspaces: the contents of the Git repository you link, retrieved using the credentials you supply

Usage Information:

  • Feature usage and interactions
  • Storage consumption
  • Device and browser information
  • IP address

Payment Information:

  • Billing details are processed by Stripe; we do not store full payment card numbers

2. How We Use Your Information

We use your information to:

  • Provide, maintain, and improve the Service
  • Process payments and manage subscriptions
  • Send transactional emails (account verification, password resets)
  • Respond to support requests
  • Enforce our terms and prevent abuse
  • Comply with legal obligations

We do not sell your personal information to third parties. We do not use Your Content to train machine-learning models.

3. How We Share Your Information

We share your information only in these circumstances:

With Your Consent: When you supply credentials to a third-party Git provider for a code workspace, we use those credentials only to fetch repository contents on your behalf.

Service Providers: We use third-party services to operate Lectis:

  • Hetzner Cloud (Germany) — Postgres database and API hosting
  • Cloudflare R2 (United States) — vector index storage
  • Wasabi (United States) — source file storage
  • Vercel (United States) — dashboard hosting
  • Stripe (United States) — payment processing
  • Resend (United States) — transactional email

These providers process data on our behalf under contractual obligations to protect your information.

Legal Requirements: We may disclose information if required by law, subpoena, or government request, or to protect the rights, safety, or property of Ipsis Design LLC, our users, or the public.

Business Transfers: In the event of a merger, acquisition, or sale of assets, your information may be transferred to the successor entity.

4. Data Storage and Security

Your data is stored on servers in Germany (Hetzner, Postgres + API) with object storage in the United States (Cloudflare R2 for vector tables, Wasabi for source files). We implement commercially reasonable security measures to protect your information, including encryption in transit (TLS) and encryption-at-rest for credentials we hold on your behalf (GitHub personal access tokens are encrypted with ChaCha20-Poly1305 before being written to the database).

No system is completely secure. While we take reasonable precautions, we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials and for any activity under your account.

5. Data Breach Notification

In the event of a security breach that affects your personal information, we will notify affected users in accordance with applicable law. Notification may be provided via email to your registered address or through notice within the Service.

6. Data Retention

Active Accounts: We retain your data for as long as your account is active.

Deleted Accounts: When you delete your account, we will delete your data within 30 days. We may delete data sooner at our discretion.

Backups: Deleted data may persist in encrypted backups for up to 90 days before being purged.

Legal Holds: We may retain data longer if required for legal proceedings or compliance.

7. Your Rights and Choices

Access: You can access your documents and account information through the Service.

Correction: You can update your account information through your profile settings.

Deletion: You can delete your account through account settings. Your data will be deleted within 30 days.

Communication Preferences: You can opt out of non-essential communications, but transactional emails (security alerts, billing) cannot be disabled while your account is active.

8. Cookies and Local Storage

We use:

Essential Cookies: Required for authentication and session management — specifically, an HttpOnly `lectis_session` cookie set on the dashboard origin. This cookie is strictly necessary and cannot be disabled while you are signed in.

Local Storage: The desktop application stores its local index, settings, and per-workspace embedding configuration on your device under `~/.lectis/`. The dashboard uses local storage only to remember small UI preferences. This data stays on your device and is not transmitted to our servers.

We do not use advertising or tracking cookies.

9. Children’s Privacy

Lectis is not intended for users under 16 years of age. We do not knowingly collect information from children under 16. If we become aware that a user is under 16, we will terminate their account and delete their personal data.

10. International Users

Lectis is operated from the United States by Ipsis Design LLC, with primary data processing in Germany and the United States as described in Section 4. If you access the Service from outside these jurisdictions, your information will be transferred to and processed in them, which may have different data protection laws than your jurisdiction.

11. Changes to Privacy Policy

We may update this Privacy Policy from time to time. Material changes will be communicated via email or notice within the Service, and you will be asked to re-accept before continuing to use cloud features. The “Last Updated” date at the top indicates when the policy was last revised.
